By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Definitions

  • “PrimeWMS” refers to our warehouse management software platform.
  • “User” refers to any individual or entity using our Services.
  • “Services” includes software, website, integrations, and support.
  • “Data” refers to inventory, shipment, and operational information entered into the platform.

2. Eligibility

You must be at least 18 years old and authorized to enter legally binding agreements on behalf of your organization to use our Services.

3. Account Registration

  • You must provide accurate and complete information.
  • You are responsible for maintaining login confidentiality.
  • You are responsible for all activities under your account.

4. Scope of Services

PrimeWMS provides tools for:

  • Inventory management
  • Order processing
  • Warehouse tracking
  • Reporting & analytics
  • Third-party integrations

5. Acceptable Use

You agree NOT to:

  • Use the platform for unlawful activities
  • Upload malicious code or viruses
  • Attempt unauthorized access
  • Reverse engineer the software
  • Disrupt system performance

6. Data Ownership

You retain ownership of all operational and business data uploaded to PrimeWMS. We process this data solely to provide and improve our Services.

7. Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

8. Fees & Payments

  • Subscription fees apply as per agreed plans.
  • Payments must be made on time.
  • Failure to pay may result in service suspension.

9. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted access. Maintenance or technical issues may cause temporary downtime.

10. Third-Party Integrations

PrimeWMS may integrate with third-party systems (e.g., couriers, ERPs). We are not responsible for third-party service performance or data handling.

11. Intellectual Property

All software, branding, content, and technology related to PrimeWMS remain our exclusive intellectual property.

12. Termination

  • You may terminate your subscription anytime.
  • We may suspend accounts for Terms violations.
  • Data retention post-termination follows our Privacy Policy.

13. Limitation of Liability

PrimeWMS shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business interruption.

14. Indemnification

You agree to indemnify and hold PrimeWMS harmless from claims arising from misuse of the Services or violation of these Terms.

15. Governing Law

These Terms are governed by the laws of Australia. Any disputes shall be subject to the jurisdiction of Australian courts.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
